Conditions of Sales

All orders are accepted by Cable Master Pte Ltd subject to the Terms and Conditions of Sale set out below:
  • General
  • 1. All orders for products ("Products") or services ("Services") will be accepted by Cable Master Pte Ltd ("Cable Master") subject to these terms and conditions of sale. Any person, company, organisation or legal entity (“Customer”) who places orders for Products or Services with Cable Master is bound by these terms and conditions. No other terms will apply to the supply of Products and Services by Cable Master unless agreed in writing by an authorised signatory of Cable Master. Customer's purchase order is solely for the purpose of requesting delivery dates, quantities and shipping destinations and instructions. Any provision of Customer's purchase order (or other documents and communications) which is in any way inconsistent with or in addition to the terms and conditions contained herein shall not become part of the contract between Cable Master and Customer or otherwise be binding on Cable Master unless expressly agreed to in writing by Cable Master. Cable master reserves the right to amend these terms and conditions at any time. The most current version of these terms and conditions can be found at www.cablemaster.com.sg These terms and conditions, as may be amended from time to time, constitute the entire agreement of the parties with respect to the subject matter hereof and cancel and supersede all prior communications, representations, understandings, agreements and course of dealings.
  • Prices
  • 2.1 The prices of Products and Services are as set out in the Cable Master website that is current at the date of despatch of the Products or provision of the Services. Products which are not listed in the Cable Master website will be sold at the prices set out in the relevant Cable Master quotation. All prices exclude goods and services and other similar taxes. Cable Master reserves the right to change prices without prior notice at any time.
  • 2.2 For export orders, unless agreed otherwise in writing, prices are ex-works Cable Master's premises. Other Incoterms are available and will be charged to the Customer at cost. All export prices exclude the cost of special packaging and all duties, rates, charges, taxes, dues, levies and consular fees imposed in connection with the Products by any country to which the Products are to be delivered.
  • Ordering
  • 3.1 Cable Master reserves the right to decline to trade with any Customer or and may decline to accept any order.
  • 3.2 Cable Master may substitute an ordered Product where the Product has been superseded by the latest version. If the Customer confirms the substituted Product order by telephone, fax or internet, the confirmation must be marked 'confirmation only' to avoid duplication. If the Customer orders the wrong Product or quantity, or duplicates orders, clause 12 will apply.
  • 3.3 Unless otherwise expressly stated, any tender or quotation given by Cable Master shall not remain open for longer than the price validity as tendered or quoted. A tender or quotation may be withdrawn by Cable Master at any time before acceptance by Cable Master of any order placed with Cable Master.
  • Delivery
  • 4.1 Cable Master will aim to deliver Products in accordance with the Customer's order. The Customer's delivery options for domestic (Singapore) orders, and the prices for them, are set out on Cable Master's website or will be notified to the Customer at the time of order. Lead times for no stock items will be notified in Cable Master website. The delivery date for export orders will be specified at the time of order, but if no dates or periods are specified, delivery shall be made when the Products are available for despatch. Delivery for domestic (Singapore) or export orders will be made to the Customer's Delivery or Shipping Address as stated, unless otherwise agreed in writing.
  • 4.2 Times and dates for delivery quoted in Cable Master website, Cable Master quotation or by Cable Master's employees are approximate only and Cable Master shall not be liable for the consequences of any delay in delivery. Time for delivery shall not be of the essence. Delivery of Products marked in the order as requiring special handling may (because of their nature) take longer to deliver.
  • 4.3 If any delivery is late, the Customer must notify Cable Master, and Cable Master will endeavour to ascertain if the Product has been delivered or ascertain the expected delivery time of the Product to the Customer. Cable Master will not refund the delivery charges to the Customer nor be liable for any such refund. If a revised delivery time is not acceptable, Cable Master may also, at its discretion, offer an alternative delivery option. Any increase in the delivery charges due to the alternative delivery will be borne by the Customer. Cable Master may notify the Customer if Cable Master will be unable to fulfil any order for no stock item, and will provide alternative options. These are the Customer's exclusive remedies for late delivery. Cable Master shall not be liable for any other remedies, losses, damages or expenses.
  • 4.4 Where the Products are to be delivered by instalments over a period, the instalments will be reasonably apportioned at Cable Master's sole discretion taking into account, so far as is reasonably practicable, delivery dates requested by the Customer. Each instalment shall constitute a separate contract. In any event Cable Master may at its option elect to effect partial delivery of any Products unless otherwise specifically agreed with the Customer.
  • 4.5 If Cable Master is not able to deliver the Products due to wrong or invalid address provided by the Customer, the Customer or their representative is not present or available to receive the Products ordered or give Cable Master adequate delivery instructions then Cable Master may without prejudice to any of its other rights or remedies:
    • i) effect delivery of the Products by whatever means it thinks most appropriate at the Customer's risk and expense; or
    • ii) arrange storage of the Products at the Customer's risk and expense; or
    • iii) by notice in writing, treat the contract as repudiated. In such case, the total invoice value plus all charges incurred (delivery charges, handling charge, taxes and fees paid) will be borne by Customer and to be paid to Cable Master within 7 days of the notice in writing. All monies already paid by the Customer for the Product or Service will be forfeited.
  • Inspection, Transit Delays and Non-delivery
  • 5.1 The Customer must inspect all Products as soon as reasonably possible after delivery and shall, within 10 days of delivery or, in the case of (iv), the due date for delivery, give written notice to Cable Master of:
    • i) Any defect in a Product that is apparent on reasonable examination. In this case Cable Master shall, at Cable Master's discretion, replace the Product or refund the purchase price.
    • ii) Any shortfall in Products delivered. In this case Cable Master shall, at its discretion, deliver the undelivered Products or refund the price of the undelivered Products.
    • iii) Any non-delivery of the Products. In this case Cable Master shall deliver the undelivered Products or refund the price of the undelivered Products.
    • iv) Any shortfall in Products delivered. In this case Cable Master shall, at its discretion, deliver the undelivered Products or refund the price of the undelivered Products.
  • 5.2 If the Customer fails to give any such notice, the Customer will be deemed to have accepted the relevant order as being delivered in accordance with the Customer's instructions and to have accepted the Products as being free from all apparent defects.
  • 5.3 The remedies set out above are the Customer's exclusive remedies in the circumstances described in paragraphs (i) to (iv) above. Cable Master shall not be liable for any other losses, damages or expenses.
  • Payment
  • 6.1 Unless agreed otherwise in writing, payment terms are:
    • i) online payment via PAYPAL as stated in Cable Master website.
    • ii) cash, bank draft or cheque drawn on a Singapore bank with order (in Singapore dollars or the currency stated on the invoice);
    • iii) irrevocable letter of credit if agreed by Cable Master; or
    • iv) telegraphic transfer with all bank charges borne by the Customer and within the period specified in the invoice.
  • 6.2 Where payment is agreed to be by letter of credit, no order of the Customer shall be deemed to be accepted by Cable Master until Cable Master has received, in a form acceptable to Cable Master, a letter of credit which:
    • i) is subject to the Uniform Customs and Practice for Documentary Credits (2007 Revision ICC Publication No. 600) as the same may be amended from time to time;
    • ii) is irrevocable and opened or confirmed by a recognised bank in Singapore;
    • iii) is expressed to be payable at sight in Singapore dollars or in the currency stated in the invoice;
    • iv) is expressed to allow part shipment;
    • v) is expressed to have a validity period of not less than 60 days from the date of opening or confirmation;
    • vi)states that all costs and commissions are for the account of the Customer;
    • vii) conforms in all respects to the tender and quotation of Cable Master including but without limitation with regard to description of the Products, price and terms of delivery; and
    • viii) states the origin of the Products to be various.
  • 6.3 All payments must be made without any set-off, deduction or counterclaim.
  • 6.4 If any sum is not paid on the due date for payment:
    • i) Cable Master may charge the Customer interest calculated on the unpaid amount and accrued during the period from the due date until payment is made in full (whether before or after judgement) at the rate of one percent per month, compounded monthly;
    • ii) suspend delivery of the Products or Services under that and any other contract for as long as the default continues; and
    • iii) treat that and any other contract as repudiated by the Customer, if the Customer fails to pay any such unpaid amount within fourteen days of notice by Cable Master.
  • Passing of Risk and Property
  • 7. Risk of loss of or damage to the Products and Services shall pass to the Customer on delivery. Ownership of the Products and Services shall not pass to the Customer until all sums due to Cable Master from the Customer for those Products and Services have been received by Cable Master, and until that time Cable Master shall be entitled to the immediate return of all Products and the immediate refund for all Services rendered, if the Customer is late in paying any sum to Cable Master. The Customer authorises Cable Master and its agents to enter any premises of the Customer and to recover the Products and materials used in performing the Services for that purpose. Notwithstanding the above, the Customer is still liable for any shortfall to the Products and shortfall of the refund for all Services rendered.
  • Product and Availability Information
  • 8. Cable Master reserves the right to discontinue any Product or Service or to change the Product design at any time. Unless otherwise confirmed, nothing in the Cable Master website is to be taken as a representation of the source of origin, manufacture, or production of any Products or any part of them.
  • Warranty
  • 9.1 For Products: Cable Master warrants that if any Product is defective due to manufacturing defects only, it will, at its option, replace or repair the Product. This warranty against manufacturing defects is subject to a claim being notified in writing to Cable Master within 12 months of the date of despatch of the Product, or such other longer period as may be indicated by Cable Master website, tender or quotation for specific products from time to time.
  • 9.2 For Services: Cable Master warrants that if any Service is defective, it will, at its option, either rectify the Service or supply to the Customer free of charge a substitute Service in place of the defective Service. This warranty is subject to a claim being notified in writing to Cable Master within 3 months of the date of the invoice, or such other periods as may be indicated by Cable Master website, tender or quotation for specific Services from time to time.
  • 9.3 These warranties shall not apply to any defect which arises from :
    • i) Accident, negligence, improper use or failure to follow the product instructions on the part of any person other than Cable Master.
    • ii) Any repair or modification made without the consent of Cable Master.
    • iii) Excessive voltage/current of mains supply, and or lighting strike.
    • iv) Fire, flood, act of God or any other cause beyond the control of either party hereto.
    • v) Associated equipment, the service ability of which is not the responsibility of Cable Master under the terms of this Condition of Sale.
    • vi) Customer’s failure to maintain proper on site environmental conditions for the Product or Service.
    All cost of repairs or replacements arising under sub-clause i. to vi. above shall be determined and additionally charged to the Customer by Cable Master. The supply or replacement of the complete or partial Product or Service shall be at the sole discretion of Cable Master.
  • 9.4 The Customer must contact Cable Master to notify Cable Master in advance of the return of any Products and obtain a Returns Number, to be quoted on all paperwork. Returned Products must be accompanied by an advice note stating the invoice number and the nature of the defect. Where the Customer does not return Products in accordance with this clause 9, Cable Master may refuse such Products and return them to the Customer at the Customer’s cost.
  • 9.5 The remedies set out above shall be Cable Master’s sole liability and the Customer’s sole remedy for any breach of warranty and in respect of the supply of Products and/or Services. Save as expressly provided in these terms and conditions, all implied warranties, terms and conditions concerning the supply of Products and/ or Services are excluded to the fullest extent permitted by law (including, without limitation, the implied terms of satisfactory quality, fitness for purpose and provision of services with reasonable care and skill). Cable Master will not be liable to the Customer for any loss, damage or liability which arises out of the breach of implied warranties, terms or conditions or breach of any other duty of any kind imposed on Cable Master by operation of law. The Customer acknowledges that it is responsible for ensuring that the Products and Services it orders are fit for the purposes for which it intends to use them.
  • Limitations of Use
  • 10. Products sold by Cable Master are not recommended or authorised for use in life support, surgical implantation, nuclear or aircraft applications or for any use or application in which the failure of a single component could cause substantial harm to persons or property.
  • Liability
  • 11.1 Cable Master shall not be under any liability for damage, losses (whether direct, indirect or consequential), expenses, liabilities, loss of profits, business or economic loss, depletion of goodwill, costs (including legal costs), claims, demands, proceedings, judgments or otherwise resulting from the failure to give advice or information or the giving of incorrect advice or information (including through the Cable Master technical helpline) whether or not due to its negligence or that of its employees, agents or sub-contractors.
  • 11.2 Cable Master shall not be liable for economic loss, punitive damages, loss of revenue, loss of profits or expected future business, damage to reputation or goodwill, loss of any order or contract or any consequential or indirect loss or damage, all as may result from, or be connected with:
    • i) any express or implied terms of the contract between Cable Master and the Customer, or of any order accepted by Cable Master;
    • ii) any duty of any kind imposed on Cable Master by law; or
    • iii) any defect in the Products or Services.
  • 11.3 If, notwithstanding any provisions of these terms and conditions, any liability attaches to Cable Master, Cable Master’s liability to the Customer arising out of or in connection with these terms and conditions or any order whether in contract, tort or otherwise in respect of one or more of
    • i) any express or implied terms of the contract between Cable Master and the Customer, or of any order accepted by Cable Master;
    • ii) any duty of any kind imposed on Cable Master by law; or
    • iii) any defect in the Products or Services, shall be limited in the aggregate to the total value of the order only.
  • Cancellations and Returns
  • 12.1 The Customer may not cancel orders once accepted by Cable Master. Cable Master may allow an order to be cancelled at its discretion, subject to Cable Master recovering from the Customer the costs incurred by Cable Master. If only part of an order is cancelled, Cable Master may invoice the Customer any difference in selling price per unit applicable to the quantity actually despatched prior to cancellation compared to the quantity ordered.
  • 12.2 Additional terms and conditions apply to the cancellation and amendment of scheduled orders (i.e. orders for Products to be delivered periodically and which are specifically sourced for the Customer) which Cable Master will provide at the time of order.
  • 12.3 The Customer may only return Products to Cable Master, and receive a credit or refund, on the following conditions:
    • i) the Customer must contact Cable Master in advance and obtain the prior consent of Cable Master and (if available) obtain a Returns number (to be quoted on all returned paperwork);
    • ii) return must be made within 30 days of the date of delivery (as stated on the delivery documentation); see clause 12.4 where returns are made after this period. Products must be returned to Cable Master in their original, unopened packaging and in a condition which will enable them to be immediately fit for re-sale; and
    • iii) Products must be adequately packed and dispatched freight prepaid by Customer, clearly labelled, to Cable Master Pte Ltd, Blk 9004 Tampines Street 93, #02-76, Singapore 528838.
  • 12.4 Products accepted for return will be credited at invoice value. Cable Master will apply a restocking fee of 20% of invoice value or S$50 whichever is higher for Products returned within 30 days of the date of delivery. For Products returned 30 days or more after the date of delivery, prior approval must be given by Cable Master and, if approved, Cable Master will apply a restocking fee of 30% of invoice value or S$70 whichever is higher. In addition, for all orders paid by credit card, a cancellation charge based on 10% of invoice value will be applied.
  • 12.5 This returns policy excludes any form of media Products, software, calibrated Products, scheduled orders, production packaging format Products, and also excludes Products where the packaging has been opened.
  • Services - for repair of Products
  • 13.1 Cable Master offers repair Services in respect of Products. Cable Master may quote a turnaround time target for these Services, but will be under no liability if it fails to comply with such target. The conditions which apply to each of the Services are set out below.
  • 13.2 Repairs: The Repair Service is subject to the availability of parts and is only available if the Product has not suffered excessive physical or electrical damage and is free from modifications (other than those detailed in the Product literature). Cable Master may at its absolute discretion either repair the Product or replace it with a substitute Product. Any Customer-generated software returned with a Product will be erased and Cable Master shall not be under any liability whatsoever in respect of any data contained in such software.
  • Rights in the Website
  • 14. The Customer acknowledges that Cable Master and its licensors own the intellectual property rights in the Cable Master website and the website content, and that their whole or partial reproduction without Cable Master’s prior written consent is prohibited.
  • Force Majeure
  • 15. A force majeure event is any event beyond the reasonable control of Cable Master (including strikes, traffic congestion, the downtime of any external line, or Cable Master’s inability to procure services, materials or articles required for the performance of the contract except at enhanced prices). If Cable Master is prevented or restricted from carrying out all or any of its obligations by reason of any force majeure event, then Cable Master shall be relieved of its obligations during the period that such event continues, and shall not be liable for any delay and/or failure in the performance of its obligations during such period. If the force majeure event continues for a period longer than 14 days, Cable Master may cancel the affected order or cancel the whole or any part of these terms and conditions, without any liability to the Customer.
  • Compliance with Laws
  • 16.1 The Customer shall observe all laws, regulations and requirements imposed in relation to the Products and the sale, labelling and storage of them in the jurisdiction in which the Customer or Products are situated, and shall indemnify Cable Master against all actions, claims, costs, demands and expenses incurred or suffered by Cable Master arising out of the breach by the Customer of this clause 16.1.
  • 16.2 The Customer shall not knowingly sell to any buyer who is on, or who will supply the Products to any other person who is on, the US Denials List or any other embargoes or sanctions list. The Customer shall comply with all applicable export control, re-export, sanctions, embargo and denied persons regulations and shall comply with any applicable Cable Master policy in force from time to time (if there is any conflict between the two, the export controls shall prevail). The Customer acknowledges that it is the Customer’s sole responsibility when exporting the Products to any other country or jurisdiction to ensure that the Customer complies with all applicable laws and regulations. The Customer shall indemnify Cable Master against all actions, claims, costs, demands and expenses incurred or suffered by Cable Master arising out of the breach by the Customer of this clause 16.2.
  • Severance
  • 17. Any provision in these terms and conditions which is held invalid or unenforceable in any jurisdiction shall be ineffective to the extent of such invalidity or unenforceability without invalidating or rendering unenforceable the remaining provisions hereof, and any such invalidity or unenforceability in any jurisdiction shall not invalidate or render unenforceable such provisions in any other jurisdiction.
  • Law and Jurisdiction
  • 18. The contract between Cable Master and the Customer as applicable to each Customer order shall be governed by and interpreted in accordance with Singapore law and the Customer submits to the non-exclusive jurisdiction of the Singapore courts, but Cable Master may enforce the contract in any court of competent jurisdiction.
  • Contracts (Rights of Third Parties) Act
  • 19. A person who is not a party to the contract between Cable Master and the Customer as applicable to each Customer order shall have no right under the Contracts (Rights of Third Parties) Act (Cap. 53B of the Singapore Statutes) to enforce any of its terms.
